Jonathan Lau is Counsel at Magellan Law and is a key member of the firm’s Corporate and M&A practice. He advises founders, private companies, multinational corporations, investors and high-growth businesses on a broad range of corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings and commercial arrangements. 

Jonathan trained and practiced as a corporate lawyer in leading international and Singapore law firms (including Allen & Overy and Drew & Napier), with a focus on cross-border transactions.

Jonathan brings a distinctive blend of private practice and in-house experience to his work. Prior to joining Magellan Law, he spent over eight years in-house with one of Southeast Asia’s leading e-commerce platforms, where he supported regional business operations, strategic transactions, commercial partnerships and expansion initiatives across multiple jurisdictions. This experience gives him a deep understanding of the commercial, operational and regulatory considerations that businesses face, enabling him to provide practical and solutions-oriented advice that aligns closely with clients’ commercial objectives. 

Clients value Jonathan’s ability to combine strong technical expertise with commercial pragmatism. Having sat on both sides of the table as external counsel and in-house legal adviser, he is particularly adept at identifying key deal drivers, managing transaction risk and helping clients navigate complex negotiations efficiently. He is frequently involved in transactions requiring close coordination between legal, commercial and operational stakeholders and is recognised for his responsiveness and business-minded approach. 

His recent matters include:

  • Acting for the Founder on the sale of a specialist corporate services company in Singapore;
  • Advising various start-ups on fund-raising and corporate structuring matters, including on the issuance of SAFEs and the establishment of employee share incentive schemes; and
  • Assisting various companies with their commercial and technology agreements, and related regulatory issues.

Jonathan graduated from the National University of Singapore, and is admitted to the Singapore bar.
